USG Scout (Talent Producer) Independent Contractor Agreement

1. Age & Identity Verification
I certify under penalty of perjury that I am at least eighteen (18) years of age. I agree to submit a clear, unredacted copy of my government-issued identification along with a verification photo/Selfie Image prior to receiving any disbursement. I acknowledge that payout is strictly contingent upon successful verification under USG's internal compliance and payment processor policies.
2. Independent Contractor Status
I am a separate, independent business entity providing talent scouting and production services to USG. Nothing in this Agreement creates an employer-employee, joint venture, agency, or legal partnership relationship. USG does not withhold taxes, provide benefits, or control my work methods beyond the specifications of this Agreement. I am solely responsible for all tax obligations in my jurisdiction.
3. Role & Responsibilities
I understand that my role as a USG Scout (Talent Producer) is to identify, pitch, and assist models (18+ females) in onboarding to the Ultimate Smoking Girls platform. This includes guiding them through the digital contract, assisting with compliance photo capture, facilitating the model's onboarding and the submission of her Deliverable (a matchup video or a Vault photo set) per USG's specifications, and ensuring successful upload and platform verification.
4. Age Verification & Consent Certification
I certify that for every model I recruit, I have physically inspected their government-issued ID and confirmed to the best of my ability that the model is at least eighteen (18) years of age at the time of production. I further certify that I have obtained the model's explicit, voluntary consent to participate, be filmed, and have their media uploaded to USG.
5. Intellectual Property & Work Made for Hire
To the extent permitted by applicable law, any media I capture, assist in capturing, or upload on behalf of a model under this Agreement shall be considered a 'work made for hire' for USG. To the extent it does not qualify as a work made for hire, I hereby irrevocably assign, transfer, and sell to USG 100% of the exclusive, worldwide, perpetual copyright, moral rights, and ownership of such media. I waive any claims of authorship, attribution, or compensation beyond the agreed scout commission.
6. Sanctions Compliance
I certify that I will not recruit, onboard, or facilitate payments for any model who is a resident or citizen of a US-sanctioned jurisdiction, including but not limited to the Russian Federation and the Republic of Belarus.
7. Compensation & Payment Terms
I understand that my compensation is strictly commission-based, contingent upon a recruited model successfully completing onboarding, passing 2257/KYC verification, and having her first Deliverable (video or approved Vault photo set) approved by USG. Commissions are disbursed via third-party platforms (e.g., Fiverr) or other methods designated by USG. I am not entitled to any base salary, hourly wage, or revenue share from the model's subsequent earnings or platform traffic. No invoice or statement from Scout alters the commission amount determined by USG under this Agreement.
8. Confidentiality & Non-Disparagement
I agree to keep all USG operational methods, model contact information, and internal platform mechanics strictly confidential. I agree not to make any statements, written or verbal, that defame, disparage, or slander USG, the Commissioner, its sponsors, or its models.
9. Indemnification
I agree to indemnify, defend, and hold harmless USG, its owners, and affiliates from any and all claims, demands, or liabilities arising from my actions as a Scout. This includes, but is not limited to, claims of false age representation, lack of model consent, copyright infringement, or local law violations arising from my recruitment or production activities.
10. Governing Law, Jurisdiction & Electronic Signature
This Agreement shall be governed by and construed in accordance with the laws of the State of Israel (or the primary jurisdiction in which USG's operating entity is legally registered). Any legal action shall be submitted to binding arbitration in English. I agree that checking the consent box, uploading my ID, and submitting this form electronically constitutes a legally binding digital signature. I acknowledge that USG logs my IP address, device metadata, timestamp, and location data upon submission to verify the authenticity of this electronic agreement.
11. Severability & Controlling Language
If any provision is held invalid, the remainder shall remain in full force. The English version of this Agreement is the controlling text.
12. Data Privacy & Age-Verification Records
I acknowledge that USG collects my government-issued identification and verification Selfie Images solely to perform the age verification required by 18 U.S.C. § 2257 and applicable data protection laws. I acknowledge that raw ID images are removed from USG's active servers within thirty (30) days of verification and are thereafter retained only in encrypted, access-restricted cold storage for the statutory record-keeping period. I acknowledge that USG does not sell my personal data to third parties and processes it only as described in the USG Privacy Policy.
Execution & Electronic Signature Block
I confirm that the Full Legal Name I provided is the name by which I execute this Agreement, and that the date, time, IP address, and Country of Residence recorded by the Platform at the moment I check the consent box constitute the date and place of my signature.
